Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the Clarus application and related services (the “Service”), operated by CLARUS LLC (“Clarus,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
Clarus is a leadership-alignment and business-modeling platform that helps leadership teams organize information, run diagnostics, and model the effect of business decisions. The Service is currently offered as an invitation-only beta and is provided for the internal use of your organization's authorized leaders.
2. Beta Service
The Service is a pre-release “beta” offering. It may contain errors, may change, be interrupted, or be discontinued at any time without notice, and may not operate as intended. Features, content, and availability are subject to change. We may add, modify, or remove functionality at our discretion.
3. Advisory Tool Only — Not a Decision-Making Tool
Clarus is a simulation and advisory tool, not a decision-making tool.
All outputs, scenarios, projections, ratios, simulations, and suggestions produced by the Service are illustrative and are provided for informational purposes only. They do not constitute financial, accounting, tax, legal, investment, or other professional advice, and must not be relied upon as such. You are solely responsible for the business decisions you make and for their outcomes. You should obtain advice from qualified professionals before acting on any information derived from the Service.
4. Eligibility & Accounts
Access to the Service is by invitation and is intended for authorized members of a participating organization's leadership team. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to provide accurate information and to notify us promptly of any unauthorized use.
5. Acceptable Use
You agree not to misuse the Service, including by: attempting to access accounts or data that are not yours; interfering with or disrupting the Service; reverse-engineering or copying the Service except as permitted by law; uploading unlawful, infringing, or malicious content; or using the Service to violate any applicable law or the rights of others.
6. Your Data
You retain ownership of the data, documents, and other information you submit to the Service (“Your Content”). You grant Clarus a limited license to host, process, and use Your Content solely to operate, secure, and improve the Service and to provide it to you and your authorized team. You represent that you have the rights necessary to submit Your Content.
Within your organization, information you submit through the Service is visible to the authorized members of your team. Your private conversations with the in-product assistant (“Ask Clarus”) are an exception: they are visible only to you and to Clarus, and are not shared with your teammates.
We do not sell Your Content, and we do not use it to train machine-learning or artificial-intelligence models; the AI providers we use to operate the Service are likewise contractually prohibited from using Your Content to train their models. We do not disclose Your Content outside your organization and Clarus, except to service providers (such as cloud-hosting and AI-infrastructure providers) that process it on our behalf under confidentiality and data-protection obligations, or where required by law.
We apply reasonable administrative, technical, and organizational measures designed to protect Your Content, but no method of transmission or storage is completely secure.
7. Intellectual Property
The Service, including its software, design, content, and trademarks, is owned by CLARUS LLC or its licensors and is protected by applicable intellectual-property laws. Except for the rights expressly granted to you to use the Service, no rights are transferred to you.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY OUTPUT WILL BE ACCURATE OR COMPLETE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLARUS LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE OR ANY DECISIONS MADE IN RELIANCE ON IT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE THE SERVICE IS PROVIDED AS A FREE BETA, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).
10. Indemnification
You agree to indemnify and hold harmless CLARUS LLC from and against any claims, liabilities, damages, losses, and expenses arising out of your use of the Service, Your Content, or your violation of these Terms.
11. Term & Termination
We may suspend or terminate your access to the Service at any time, with or without cause or notice, including to protect the Service or other users. You may stop using the Service at any time. Provisions that by their nature should survive termination (including Sections 3 and 6–10) will survive.
12. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Effective” date above. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
13. Governing Law
These Terms are governed by the laws of the State of Iowa, without regard to its conflict-of-laws rules. The exclusive venue for any dispute arising out of or relating to these Terms or the Service will be the state and federal courts located in Iowa.
